This Agreement is between Slyte, a UGC talent agency registered under the laws of (referred to as “Slyte” or the “Agency”), and the individual providing content creation services (referred to as the “Creator”). Slyte connects content creators with companies for user-generated content creation. The Creator agrees to provide content creation services under the terms set out in this Agreement.
1. Creator Engagement
Slyte engages the Creator as an independent contractor to create and deliver content based on client specifications.
2. Payment
Slyte will pay the Creator a fee for each project.
Project fees will be outlined in separate Project Agreements.
3. Work Scope
Each Project Agreement will define:
– Deliverables
– Deadlines
– Specific requirements
4. Agreement Duration and Ending
This Agreement shall commence on the date first written above and shall continue in effect until terminated by either party upon not less than 30 days’ written notice. Either party may terminate this Agreement without cause.
5. Independent Contractor Status
The Creator is an independent contractor, not an employee of Slyte. Slyte will not withhold taxes from the Creator’s payments. The Creator is responsible for their own taxes.
6. Confidentiality
The Creator agrees to keep all work products, client data, and proprietary information strictly confidential, and not share this information with any third party.
7. Ownership of Work
All content created under this Agreement belongs exclusively to Slyte or its clients. Ownership details will be specified in each Project Agreement.
8. Creator’s Guarantees
The Creator guarantees that all delivered content is their original work. The content does not infringe on anyone else’s rights.
9. Protection Against Claims
The Creator agrees to protect Slyte and its clients from any claims resulting from the Creator’s negligence and the Creator’s breach of this Agreement
10. Governing Law
This Agreement is governed by the laws of the United States of America.
12. Responsible AI Use
The Creator may use AI tools to assist in content creation, but must disclose this use to Slyte.
The Creator is responsible for ensuring that AI-assisted content meets project requirements and quality standards.
The Creator must verify and potentially edit AI-generated content to maintain authenticity and avoid potential biases or inaccuracies.
Slyte reserves the right to reject or request revisions for content that overly relies on AI or does not meet the project’s authenticity requirements.
The use of AI should not infringe on any third-party rights or violate any laws or regulations.
By agreeing to these terms, both Slyte and the Creator commit to a professional relationship based on clear communication, quality work, and mutual respect.
